IMPORTANT: BY ACCESSING OR USING THE STAYHOME-LIVING WEB APPLICATION ("APP"), YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS OF USE, AND THAT YOU UNDERSTAND AND AGREE TO BE LEGALLY BOUND BY THEIR CONTENTS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE APP.

Agreement

These Terms and Conditions of Use (the "Terms of Use" or the "Agreement") shall be in force between you as the user of the App ("Users" or "you") and Stayhome-Living Ltd ("Stayhome-Living" or "we" or "us") with respect to your use of the App, including all enhancements, versions, and modifications thereto.

The App is intended to engage, entertain and to help with connections and services for seniors.

The contents of this App are for informational purposes and are not intended to offer personal medical advice. You should seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition, or before you begin any exercise program or take any health product. Never disregard professional medical advice or delay in seeking it because of something you have read on this App.

In consideration of your use of the App, you agree to comply with these Terms of Use. You must be 13 years old or older to consent to these Terms of Use and to use the App. If you are under the age of majority in your jurisdiction of residence, your parent or legal guardian must agree to these Terms of Use on your behalf.

Ownership

The App consists of various graphics, texts, icons and buttons that have been provided by us and/or other entities. All such content is owned by us or by the applicable third-party entity. Stayhome-Living and applicable third-party entities hold all right, title, and interest in and to any and all content provided by such parties for the App, including, without limitation, all such information in text, graphical, video and audio formats, images, icons, designs, trade-marks, brand names, information and software (collectively, the "App Content"). For greater certainty, the App Content excludes any content on third-party websites or applications that the App may link to.

Your use of the App does not grant or transfer to you any ownership or other rights in the App or the App Content. You are expressly prohibited from removing any proprietary notice of Stayhome-Living, or any third party, from any copy of the App or App Content.

License and Conditions

Upon your acceptance of this Agreement, Stayhome-Living grants you a limited, non-exclusive, non-transferable, royalty-free and revocable license to make personal and non-commercial use of the App and its App Content. This limited license only allows you to use the App for your own personal and non-commercial purposes.

As a condition of this license, you acknowledge and agree that:

1. All intellectual property appearing on the App is owned by Stayhome-Living, its licensors, affiliated business partners, or by third parties, and the limited license granted by these Terms of Use does not convey any ownership or other rights in the intellectual property.
2. You will not download, reproduce, modify, copy, resell, distribute, transfer, or use for any commercial purpose any intellectual property or other content appearing on the App.
3. You will not reverse engineer, disassemble, decompile, alter, or translate the App or any of its content, or attempt to derive the source code of the App.
4. You will not rent, lease, loan, resell for profit, or distribute the App, or any part thereof.
5. You will at all times use the App in accordance with the terms of this Agreement and with all applicable laws or regulations.
6. You will not use the App to defraud any third party, distribute unlawful materials, or interfere with other users' access to the App.

Updates

The App is a web application that updates automatically. When we make improvements, they will appear the next time you open the App. No manual updates or downloads are required. We will make reasonable efforts to inform you of significant changes to the App.

Privacy

Your use of the App is also subject to the terms of our Privacy Policy. By using the App, you signify that you have read, fully understand and agree to be legally bound by our Privacy Policy.

Account Security

The App may require you to complete a registration process in order to access certain features. When registering for an account, you agree to provide complete and accurate information and to update such information as it changes. It is your responsibility to keep your password and account information confidential and secure.

In the event that your account is used without your consent or that you discover any breach of security, please promptly notify us at support@stayhome-living.com.

Internet Connection

The provision of the App does not include the provision of internet access, devices, or other equipment or services necessary to access or use the App. Users are solely responsible for obtaining the devices and service plan required to use the App and for bearing any costs associated therewith.

Disclaimer and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT WHERE PROHIBITED BY LAW, INCLUDING FOR USERS RESIDING IN THE PROVINCE OF QUEBEC, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATIONS, CONDITIONS OR WARRANTIES WHATSOEVER, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, REPRESENTATIONS, WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY AND ACCURACY WITH RESPECT TO THE APP.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT WHERE PROHIBITED BY LAW, INCLUDING FOR USERS RESIDING IN THE PROVINCE OF QUEBEC, WE WILL NOT UNDER ANY CIRCUMSTANCES BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DAMAGES WHATSOEVER ARISING FROM, CONNECTED WITH, OR RELATING TO THE APP.

Indemnification

At Stayhome-Living's request, you agree to defend, indemnify, and hold harmless Stayhome-Living, its parent and other affiliated companies, and their employees, contractors, officers, and directors from any and all claims, suits, damages, costs, lawsuits, fines, penalties, liabilities, expenses (including legal fees) that arise from your use or misuse of the App, violation of this Agreement, or violation of any rights of a third party.

Termination and Modification

If you breach any provision of this Agreement, we may, in our sole discretion, restrict, suspend or terminate your access to the App. We may also alter, change, update, suspend, discontinue or terminate the App or any part thereof at any time, with prior written notice to you. For users in the province of Quebec, such notice will be sixty (60) days before the termination takes effect.

If you are dissatisfied with the App, then your sole and exclusive remedy is to discontinue using the App.

Trade-Marks

This App contains references to several third parties and the services and/or products that they offer. These persons, companies, organizations, products and services are identified by their names and/or trademarks. These names and trademarks are owned by their respective holders, not by Stayhome-Living. The use of these names and trademarks is for information purposes only, in order to identify the subject persons, companies, organizations and their products and/or services, and does not imply any affiliation with or endorsement by these companies.

Linked Websites and Services

The App contains links to other websites and services operated by third parties. These links are provided for convenience or informational purposes only, and should not be interpreted as an endorsement or approval by us of the content or party associated therewith. We do not review third-party websites and are not responsible for them or for any of their content. Third-party websites are not covered by these Terms of Use or our Privacy Policy.

Modification of Agreement

For users other than individuals residing in the province of Quebec: we reserve the right to modify this Agreement at any time. If we do this, we will post the changes on our website and will indicate the date these Terms of Use were last revised. Your continued use of the App after any such changes constitutes your acceptance of these Terms of Use as revised.

For users who are individuals residing in the province of Quebec: we will provide notice of such amendment at least thirty (30) days before the amendment comes into force. You may refuse the amendment and cancel the contract without cost by sending us a notice to that effect no later than thirty (30) days after the amendment comes into force.

Governing Law and Jurisdiction

For users other than individuals residing in the province of Quebec: this Agreement and all related matters shall be governed by the laws of the Province of British Columbia, Canada. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of British Columbia in the City of Vancouver.

For users who are individuals residing in the province of Quebec: this Agreement and all related matters shall be governed by the laws of the Province of Quebec, Canada. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Quebec in the City of Montreal.

General

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between Stayhome-Living and you in connection with use of the App and supersedes any prior agreements.
